01Who we are and these terms
These Terms of Service (the Terms) are a legal agreement between you and [Company legal name] (we, us or our). They cover your use of RiffAds: the website at riffads.com, the web app at app.riffads.com, the API, the MCP server, the command line tool (the CLI) and Agent Skills. In these Terms, RiffAds or the service means all of these.
Our address is [Registered address]. You can reach us at hello@riffads.com.
You accept these Terms when you create an account, buy a plan or credits, or use RiffAds in any way. If you do not agree, do not use RiffAds.
These policies are part of these Terms: the Refund Policy, the Acceptable Use Policy and the AI Disclosure page. Our Privacy Policy explains how we handle personal data.
If you use RiffAds for a company or other organization, you also means that organization.
If you and we have agreed enterprise or other custom terms, those terms apply only if they are agreed separately in writing. Where they are different from these Terms, the written agreement applies.
02Who can use RiffAds
RiffAds is a tool for businesses and professionals who make advertising. To use it:
- you must be at least 18 years old;
- you must be able to make a binding contract;
- if you accept these Terms for a company or other organization, you must have the authority to bind it;
- you must not be barred from using the service under the laws that apply to you or to us;
- you must not use RiffAds if we closed an earlier account of yours for breaking these Terms, unless we agree in writing.
03Your account
- You can sign up with an email address and a password, or with Google. If you sign up with an email address and a password, you must verify the email address before you can sign in.
- Give us true and current information, and keep it up to date.
- Keep your password and sign-in methods safe. Do not share your account with anyone.
- You are responsible for everything that happens in your account.
- Tell us at hello@riffads.com right away if you think someone used your account without permission.
04Workspaces, seats and roles
Your work in RiffAds lives in a workspace (also called an organization). When you sign up, we create a personal workspace for you, and you are its owner. A workspace holds its subscription, its credits, its API keys and its content.
A workspace can have more than one member. Each plan includes a number of seats, as shown on the pricing page. Each member has one of these roles:
- Owner: full control of the workspace, including the plan, billing, cancellation and members.
- Admin: can invite and manage members, manage API keys and buy credit top-ups, but cannot make anyone an owner or change an owner.
- Member: can use the workspace, spend its credits and see its balance, but cannot manage the plan or billing.
The owner is responsible for who joins the workspace and for what its members do there. Content and credits belong to the workspace, not to one member. When a member leaves or is removed, the content they made stays in the workspace.
05What RiffAds does
RiffAds helps you make AI generated video ads and related media. Depending on your plan, you can use:
- the studio, where you write scripts, choose AI actors and voices, and make videos, images, audio and edits;
- workflows, which join several steps together;
- the REST API, the MCP server, the CLI and Agent Skills, which let your own software and AI agents use the same features.
We give you outputs as files you can download, or as links your software can fetch. For security, links expire after a short time. You can get a new link while the output is still in your workspace.
RiffAds never posts to Meta, TikTok, YouTube, X or any other social or ad platform. You decide where and how to publish your outputs, and you publish them yourself.
RiffAds is not a storage or backup service. Keep your own copies of the outputs you need.
06Changes to features and AI models
RiffAds uses AI models from third-party providers. A provider can change a model, limit it, raise its price or stop offering it at any time. Because of this, and because we keep improving RiffAds, we may add, change or remove features, models, actors, voices, tools and limits.
When a model changes, the quality, style, speed and credit cost of a feature can change too. We do not promise that any feature, model, actor or voice will stay available.
Some features may be marked as beta or preview. They may be less reliable, and they may change or end without notice.
We may change the API, the MCP tools and the CLI. We try to give notice before a change that breaks existing integrations, but we cannot always do so.
07Plans, prices, taxes and payment
RiffAds is sold as paid plans (subscriptions) that include credits, and as one-time credit top-ups. Plan names, prices, included credits, seats and other limits are shown on our pricing page and at checkout. What checkout shows when you buy is what applies to that purchase.
- Prices are in US dollars and do not include taxes. Taxes such as VAT, GST or sales tax are added at checkout where they apply.
- Payments are handled by our payment provider, Dodo Payments, on its own checkout page. Dodo Payments acts as the merchant of record for your purchase and collects taxes where they apply. Its own terms also apply to your payment. To confirm: that our contract with Dodo Payments makes it the merchant of record
- We do not see or store your full card number.
- Invoices and payment methods are in the billing portal, which the workspace owner opens from the Billing page.
- You allow us and our payment provider to charge your payment method for each purchase, and for each renewal until you cancel, including the Growth plan charge that follows a $1 offer.
- Only the workspace owner can start, change or cancel a subscription. The owner or an admin can buy credit top-ups.
- Plans also have usage limits, for example on seats, on how many jobs can run at the same time, and on how many custom actors you can create in each billing period.
- We may change our prices. A new plan price applies to your subscription only from a renewal after we have told you about it.
08The $1 Growth offer
A new customer may be offered the Growth plan for $1 for the first 3 days (the $1 offer). If you take the $1 offer, these rules apply:
- You pay $1 at checkout, and the $1 period lasts 3 days. The Billing page shows the date your $1 period ends.
- When the 3 days end, on day 4, the Growth plan starts automatically. We charge the regular Growth price shown at checkout to the payment method you gave.
- After that, the Growth plan renews automatically each billing period, at the price that applies at that time, until it is cancelled.
- To stop the Growth plan from starting, the workspace owner must cancel on the Billing page before the 3 days end.
- The $1 charge is final. Once the Growth plan starts, its charge is final, and so is every renewal.
- There is one $1 offer per customer or organization.
- We may change or end the offer at any time. We may refuse the offer where we see abuse, for example several accounts made to get it again.
Automatic renewal. Unless you cancel before your 3 day $1 period ends, the Growth plan starts on day 4 at the regular Growth price shown at checkout, and then renews each billing period until cancelled. These charges are final and non-refundable.
To confirm: the $1 Growth offer is live before this page is published, including the automatic start on day 4 and the $1 period end date on the Billing page. None of this exists in the product code today.
09Renewal, plan changes and cancellation
Subscriptions are billed monthly or yearly, as you choose at checkout.
- Automatic renewal. Your subscription renews automatically at the end of each billing period, and we charge the price that applies at that time, until you cancel.
- Plan credits. A monthly plan adds its credits at the start of each monthly period. A yearly plan adds the whole year of credits at the start of each yearly period.
- Failed payments. If a renewal payment fails, no new plan credits are added until the payment succeeds. Credits you already have stay usable. The workspace owner should update the payment method in the billing portal. We may end the subscription if the payment is not made.
- Upgrades. An upgrade (a higher plan, or the same plan with yearly instead of monthly billing) takes effect right away. You are charged a prorated amount right away, and any extra credits that come with the new plan are added. That charge is final. If the payment fails, the plan does not change.
- Downgrades. A downgrade (a lower plan, or the same plan with monthly instead of yearly billing) takes effect at the start of your next billing period. Nothing is charged when you make the change. You keep your current plan until then, and credits already in your workspace stay there. There is no refund or credit for the difference in price.
- Cancellation. The workspace owner can cancel at any time on the Billing page. Cancelling stops future renewals. Your plan stays active until the end of the period you paid for. You can undo the cancellation before that date.
Cancelling does not give you a refund for the current period. Your unused credits stay in your workspace after the plan ends, and they do not expire while your account exists.
After a plan ends, you can keep using the credits left in your workspace under these Terms. Features that need an active plan may not be available.
10Credits
Credits are how you pay for generations and other paid actions in RiffAds. You get credits with a plan or by buying a top-up.
- Credits are a prepaid right to use RiffAds. They are not money and not a deposit.
- Credits have no cash value. They cannot be exchanged for cash, withdrawn, sold or paid out.
- Credits cannot be transferred to another person, account or workspace.
- Credits belong to the workspace they were added to. Every member of the workspace can spend them, and so can its API keys, its MCP connections and its agents.
- Unused credits never expire while the account and workspace exist, including after a subscription is cancelled.
- If credits are added or used by mistake, for example because of a system error, we may correct the balance.
Credits are forfeited (lost) if the workspace or account that holds them is deleted, or if we close it because you broke these Terms. Forfeited credits are not refunded.
11How generations use credits
- Each generation costs credits based on our prices when you start it. The studio shows the estimated cost before you start, and the API and MCP server can return an estimate first.
- When a generation starts, we hold the estimated credits plus a small margin. When it is delivered, we charge the actual cost, which is never more than the amount held, and release the rest.
- If a generation fails before an output is delivered, the held credits are released and nothing is charged.
- If an output arrives late, after its held credits were released, we charge for it when it arrives, up to the amount that was held.
- Delivered work is charged even if you do not like the result. AI results vary, so you may need several tries, and each try costs credits.
- A generation cannot be stopped once it has started. Stopping a workflow run only stops the steps that have not started yet. Steps that already started are charged when they are delivered.
- If your workspace does not have enough credits, the generation does not start.
- A request that our moderation blocks before it starts is not charged.
12All payments are final
No refunds. All payments are final and non-refundable. This includes monthly and yearly subscriptions, renewals, plan upgrades, credit top-ups, the $1 Growth offer charge, and the Growth plan charge that starts after the offer.
We do not give full, partial or prorated refunds, and we do not give credits as compensation. This is true when you cancel, downgrade, stop using RiffAds, do not use all your credits, are not happy with an output, or when we close your account for breaking these Terms. Unused credits never expire while your account exists, so the credits you bought are not lost when a plan ends.
Charges made through your agents, API keys and MCP connections are final in the same way. When held credits are released because a generation failed, that is not a refund: those credits were never charged.
Nothing in these Terms removes rights you have as a consumer under a law that cannot be waived.
Some laws give a right to withdraw from a purchase within a cooling-off period, including for digital services (for example in the EU or the UK). Where such a law applies, you ask us to start the service right away, and you agree that you lose this right once the service starts. The service starts once your payment is confirmed, because your credits are then added and ready to use. To confirm: checkout should show this request and get the customer's agreement before payment, as EU and UK law expects
If you think a charge is wrong, contact us first at hello@riffads.com. If you dispute a valid charge with your bank or card company (a chargeback or payment dispute), we may suspend your account and workspace.

13Agents, API keys and spend limits
An agent is any software, AI assistant, script or automation that uses RiffAds for you through the API, the MCP server, the CLI or Agent Skills.
You are responsible for every action and every charge made with your account, your workspace, its API keys, its MCP connections and any agent you use. Charges made by agents are final, like any other charge.
- API keys belong to the workspace, not to one person. Only an owner or an admin can create or revoke them. The person who creates a key chooses whether it may spend credits. Keys do not expire on their own, and a key keeps working after the person who made it leaves, until it is revoked.
- MCP connections let an AI app act for a member of a workspace. Each connection is tied to one workspace, and that workspace pays for what the app does. A connection can be set to read-only, so it cannot spend credits.
- Revoking a key or a connection stops new requests. Work that already started can still finish and be charged.
- Spend limits. Every paid agent request must name the most credits it may spend, but the agent chooses that number itself. So RiffAds also applies limits that the agent does not set: a limit on what one agent generation may cost, a limit on what agents may spend from the workspace in any 24 hours, and an optional 24 hour budget for each API key, which an owner or admin can set. We set default values for the workspace limits, and we may change them.
- Spend limits help you control cost, but they are not a guarantee. Where RiffAds lets you set a limit, you are responsible for setting it to fit your needs. You are also responsible for watching what your agents do.
- Limits are checked when a job starts. A job that has started is still charged, even if a limit or budget is crossed while it runs. Jobs started at almost the same time can together go past a limit.
- Spend limits apply to agents only. They do not limit generations that people start in the studio.
- We apply rate limits and limits on jobs running at the same time, and we may change them.
- AI apps and tools you connect to RiffAds have their own terms. They may store your prompts, outputs and links. We are not responsible for them.
Do not use agents, extra keys or extra connections to get around our limits, our moderation or these Terms.
14Keeping API keys and connections secret
- Treat API keys like passwords. We show a key only once, when you create it.
- Do not put keys in public code, shared documents, websites, or apps that other people can open.
- Only give keys to members of your workspace, and to the tools and agents that you trust and that work for you.
- The CLI saves its key in a file on your computer. Keep that computer secure. Signing out of the CLI removes the key from your computer, but it does not revoke the key.
- If you think a key or connection has been exposed, revoke it right away and tell us at hello@riffads.com.
- You are responsible for all use of a key or connection until it is revoked, including use by someone who got it without your permission.
15Your content
Your content means everything you or your agents put into RiffAds: scripts, prompts and instructions, uploaded images, video and audio, voice recordings and samples, photos used for actors, brand kits, product details, and web pages you ask us to import.
You keep ownership of your content. We do not claim it.
You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, convert and display your content, only as needed to run RiffAds for you, keep it secure, support you, enforce these Terms and follow the law. This includes sending your content to the third-party AI model providers and other service providers that power RiffAds. The licence also covers your outputs, so we can store them and deliver them to you.
To confirm: whether we or our AI providers may use customer content to train or improve AI models or RiffAds itself, and what we promise customers about this. Today, Create Actor analytics events include the words a creator types, sent to our analytics provider when it is turned on.
You promise that:
- you have all the rights, licences and permissions needed to use your content in RiffAds and to give us the licence above;
- your content, and our use of it to run RiffAds, does not break any law or anyone else's rights, including copyright, trademark, privacy, publicity and likeness rights;
- where your content shows or copies a real person (their face, body, voice or name), you have that person's consent to use it this way, in writing where our Acceptable Use Policy requires it;
- when you ask us to import a web page, you have the right to use the text and images on it.
Personal data in your content is handled as described in our Privacy Policy.
16Outputs
Outputs are the videos, images, audio, scripts and other results RiffAds makes for you.
- As between you and us, you own the outputs made for your workspace, as far as the law allows. We give you any rights we have in them.
- Where the law does not allow ownership of AI generated material, we give you a worldwide, non-exclusive, perpetual right to use, copy, edit and publish the outputs for any lawful purpose, including paid advertising and work for your clients.
- Your rights in outputs are subject to the law and to the terms of the third-party AI models used to make them.
- You do not get ownership of library actors, library voices or other material that we or others own. You may use them inside your outputs as these Terms allow.
- AI can make similar or even identical outputs for different users. We do not promise that your outputs are unique, and other customers may get outputs that look or sound like yours. You get no rights in outputs made for others.
- You are responsible for checking outputs before you use them, and for how you use them.
17AI actors and voices
Library actors. The actors in the RiffAds library are AI generated characters. They are not real people, and any likeness to a real person is by chance. To confirm: that every library actor, including the two original seed actors, was made by AI and not from a photo or video of a real person
You may use library actors and library voices in your outputs, including in paid ads, under these Terms. You do not own them, and other customers can use them too. We may change or remove library actors and voices. Some library voices come from third-party voice libraries, and their owners can withdraw them. To confirm: whether outputs made before a library actor or voice is removed can still be used without limit
Custom actors. You can create an actor from a text description (with optional reference images) or from a photo. If you use a photo, a reference image or another likeness of a real person, you must own or have the rights to the image, and the person must be you or must have given you written consent to turn them into an AI actor and to use that actor in ads. Do not create an actor from a real person under 18.
Voices. Depending on your plan, you can design a new synthetic voice from a description or clone a voice. You may clone a voice only if it is your own voice, or if the person whose voice it is has given you written consent. Do not clone the voice of a real person under 18. Before cloning, you must confirm that you have this right. We keep a record of that confirmation, including your IP address and browser details.
Never use an actor or a voice to impersonate a real person, or to make it look like a real person said, did or endorsed something, without that person's written consent. More rules are in our Acceptable Use Policy.
If you believe an actor or a voice uses your likeness or voice without permission, write to hello@riffads.com.
18Your ads and the law
You are the advertiser. You are fully responsible for your ads and for every output you publish. This includes following:
- the rules and policies of every platform where you publish, such as Meta, TikTok, YouTube and X;
- advertising and consumer protection laws, including rules against false or misleading claims;
- rules on endorsements and testimonials, for example rules that a testimonial must reflect a real customer's honest experience, and that paid or other material connections must be disclosed;
- laws and platform rules that require you to label AI generated or synthetic content, or to tell viewers that a person in an ad is not real;
- rules for regulated areas such as health, finance, alcohol and products for children;
- the privacy, copyright, trademark and publicity rights of others.
Do not present an AI actor as a real customer, or an AI written script as a real review. Check every claim in a script, including scripts and product details written by AI (for example details taken from an imported web page), and make sure you can support it.
Do not rely on RiffAds to label your outputs as AI generated. Adding any disclosure that a law or a platform requires is your job. See our AI Disclosure page.
We do not give legal advice. An output that passes our moderation checks is not necessarily legal, and an ad platform may still reject it.
19Acceptable use
You must follow our Acceptable Use Policy. In short, you must not use RiffAds to:
- make or share anything illegal, or help anyone break the law;
- make sexually explicit content, any sexual content involving minors, or intimate content of a real person without their consent;
- impersonate a real person, make deceptive deepfakes, or put words in a real person's mouth without their written consent;
- make fake reviews, fake testimonials, scams or misleading ads;
- make hateful, harassing, violent or threatening content;
- break anyone's intellectual property, privacy or publicity rights;
- get around our moderation, spend limits, rate limits, plan limits or security, or create extra accounts to abuse an offer;
- attack, overload, scrape or copy RiffAds, or reverse engineer it except where the law allows;
- resell or share access to RiffAds itself, for example by sharing API keys outside your workspace, unless we agree in writing.
You may use RiffAds to make ads for your own business and for your clients.
20Moderation and our right to refuse or remove content
We use automated checks, which can include AI models, to screen scripts, prompts, uploaded images, voice clone samples and some other inputs before any credits are held for a job. The same checks apply in the studio, the API, the MCP server, the CLI and workflows.
- We may refuse, block or stop any request, upload or output that we believe breaks these Terms, our policies or the law, or that puts RiffAds, our providers or other people at risk.
- We may remove content and outputs, or disable access to them, for the same reasons.
- We may block repeated requests that keep breaking our rules.
- We keep records of moderation decisions. We may review content where needed to run RiffAds, keep it safe, look into a complaint or follow the law.
- We may report content to the authorities where the law requires it, or where we believe someone is at risk.
Our checks are not perfect. They can miss content that breaks the rules, and they can block content that is fine. Passing a check does not make you less responsible for your content and outputs. We have no duty to monitor what you do.
21Suspension and termination
You can stop using RiffAds at any time. To stop future charges, cancel your subscription as described in these Terms. To close your account or workspace, contact us at hello@riffads.com. Requests to delete your personal data are covered in our Privacy Policy.
We may suspend or limit your access, or close your account or workspace, if:
- you break these Terms or our policies, or we reasonably believe you did;
- a payment fails, or you dispute a valid charge;
- your use creates legal, security or financial risk for us, our providers or others;
- the law or an authority requires us to.
Where it is reasonable and allowed, we will tell you first and give you a chance to fix the problem. We may act without notice when the problem is serious or urgent.
If your account or workspace is deleted, or closed because you broke these Terms, its unused credits are forfeited and not refunded. We may delete its content after it is closed, so download the outputs you want to keep before you close an account.
When your account ends, your right to use RiffAds ends. The parts of these Terms that by their nature should continue keep applying, including amounts owed, no refunds, your rights in outputs you already made, disclaimers, limits of liability, your responsibility for claims, and governing law.
22Third-party services
RiffAds relies on other companies, including AI model providers, voice and speech providers, cloud hosting and storage providers, email and analytics providers, Google for sign-in, and our payment provider. Our Privacy Policy says more about them.
Third-party AI models may have their own use rules, and those rules may apply to outputs made with them.
You may connect RiffAds to your own tools, such as AI assistants and code editors. Your use of those tools is between you and their providers. We are not responsible for services we do not control, or for their availability, changes or errors.
23Our software and your feedback
RiffAds, including its software, website, app, API, MCP server, CLI, Agent Skills, library actors and voices, designs and brand, belongs to us or to our licensors. These Terms do not give you ownership of any of it.
While you follow these Terms, we give you a limited, non-exclusive, non-transferable right, which we can withdraw, to use RiffAds for your business, including work for your clients. This includes installing and running the CLI and Agent Skills. Where a tool comes with its own licence, that licence applies to the tool.
If you send us ideas or feedback, we may use them freely, with no duty to pay you or name you.
24Disclaimers
We work hard to make RiffAds useful and reliable. But as far as the law allows, RiffAds and all outputs are provided as is and as available, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and availability.
In particular:
- AI output can be wrong, strange, low quality, offensive, or not what you asked for. Speech, lip movement, faces, hands, text in images and facts can all contain errors.
- Scripts and product details written by AI can contain false or unsupported claims.
- We do not promise that outputs are unique, that they do not look like other material, or that they are free of third-party rights.
- We do not promise any ad result, such as views, clicks, sales or approval by an ad platform.
- We do not promise that RiffAds will always be available, fast or free of errors, or that content will never be lost.
Some laws do not allow some of these disclaimers. Where that is the case, they apply only as far as the law allows.
25Limitation of liability
As far as the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, even if we were told such loss was possible.
- Our total liability for all claims about RiffAds or these Terms is limited to the amount you paid for RiffAds (to us or to our payment provider) in the 12 months before the event that led to the claim.
- These limits apply whatever the legal basis of the claim, including contract, tort (such as negligence) or any other basis.
Nothing in these Terms limits liability that the law does not allow to be limited, such as liability for fraud, or for death or personal injury caused by negligence.
26Your responsibility for claims
You agree to defend us, our affiliates, and our officers, employees and contractors against any claim made by a third party, and to pay the losses, damages, fines and reasonable costs (including legal fees) that come from it, where the claim is about:
- your content, or your use of any person's likeness or voice;
- your outputs, your ads, and where and how you publish them;
- your breach of these Terms, our policies or the law;
- anything done with your account, workspace, API keys, MCP connections or agents.
We will tell you about the claim. You may not settle a claim in a way that places a duty or an admission on us without our written consent. This section applies as far as the law allows.
27Governing law and disputes
These Terms, and any dispute about them or about RiffAds, are governed by [Governing law, for example: the laws of Delaware, USA], without regard to conflict of law rules.
Any dispute will be decided only by [Courts, for example: the state and federal courts in Delaware, USA].
Before starting a formal claim, please contact us at hello@riffads.com so we can try to solve the problem.
If you are a consumer, you may also have the right to bring a claim in the courts of the country where you live, and to rely on the mandatory laws of that country. These Terms do not take those rights away.
28Changes to these Terms
We may update these Terms from time to time. The date on this page shows when they last changed.
If a change is important, we will tell you before it takes effect, for example by email, in the app or on this page. If you keep using RiffAds after the change takes effect, you accept the new Terms. If you do not agree, stop using RiffAds and cancel your subscription before that date.
A change does not apply to a dispute that started before the change.
29General
- Entire agreement. These Terms and the policies they refer to are the whole agreement between you and us about RiffAds, unless we have agreed separate terms with you in writing.
- Transfer. You may not transfer these Terms or your account without our written consent. We may transfer them, for example as part of a merger or a sale of our business.
- Severability. If part of these Terms cannot be enforced, the rest still applies.
- No waiver. If we do not enforce a right at once, we do not give it up.
- Events outside our control. We are not responsible for delays or failures caused by events we cannot reasonably control, such as outages at our providers, network failures, natural disasters or acts of government.
- Notices. We may send you notices by email to the address on your account, or in the app. You can send notices to us at hello@riffads.com or at [Registered address].
- Language. If we translate these Terms, the English version applies where the versions differ.
